  1. Scope
    These Terms and Conditions apply to all transactions and contracts of SWISSFEEL AG (hereinafter referred to as "SWISSFEEL") with a customer (hereinafter referred to as "Customer"), whether concerning the sale and delivery of goods or the provision of services.
    The Customer acknowledges the Terms and Conditions in the version valid at the time of the respective transaction or contract conclusion.
    The Terms and Conditions also apply if the Customer refers to their own terms, particularly during order placement. Deviations from these Terms and Conditions require explicit written acknowledgment from SWISSFEEL.
  1. Amendments
    The Customer agrees that SWISSFEEL has the right to amend or supplement these Terms and Conditions at any time without providing reasons. By entering into a transaction or contract with SWISSFEEL after the amendments, the Customer implicitly agrees to the updated Terms and Conditions.

  2. Order Process
    Orders for goods or services can be placed via phone, in writing (including email, SWISSFEEL's website, and other electronic communication channels). Every order is considered binding upon placement. SWISSFEEL will electronically confirm receipt of the order, but this acknowledgment is not an acceptance. The contract becomes binding only upon SWISSFEEL's written acceptance or shipping confirmation.

  3. Prices and Payment Terms
    Prices are displayed on SWISSFEEL's website, in price lists, or agreed upon in writing with the Customer. Prices are ex-works and exclude shipping, customs, import duties, packaging, and applicable taxes, which will be invoiced separately.
    Payments are to be made in advance via credit card or electronic payment methods unless otherwise agreed. SWISSFEEL may charge reminder fees starting from the second reminder.

  4. Shipping and Delivery Terms
    SWISSFEEL decides on shipping method, route, packaging, and any subcontractors. Delivery times are non-binding unless expressly agreed upon in writing. Delays due to unforeseen circumstances, force majeure, or labor disputes extend delivery times accordingly.

  5. Transfer of Risk
    Risk passes to the Customer when the goods leave the production facility or warehouse, even if shipping is organized by SWISSFEEL.

  6. Default
    If the Customer defaults on payment, SWISSFEEL reserves the right to charge 5% interest, withdraw from the contract, and reclaim delivered goods.

  7. Set-Off and Lien Rights
    SWISSFEEL reserves the right to offset claims and has a lien on Customer assets in SWISSFEEL's possession for unpaid obligations.

  8. No Right of Withdrawal
    Customers cannot withdraw from a contract unless legally mandated. Exceptions may be granted at SWISSFEEL's discretion within 14 days of receipt, provided goods are unused and undamaged.

  9. Website Information
    Product and service details on the SWISSFEEL website or brochures are approximate and non-binding.

  10. Warranty
    SWISSFEEL offers a 10-year reduction right for defects reducing the value or usability of goods, with decreasing compensation percentages over time. Claims must be reported within 8 days of receipt.

  11. Liability
    SWISSFEEL excludes liability to the extent permitted by law.

  12. Subcontractors
    SWISSFEEL may use subcontractors for services like transport and washing. SWISSFEEL is not liable for damages caused by subcontractors.

  13. Data Protection
    Customer data is processed in compliance with legal requirements and SWISSFEEL's privacy policy, available on its website.

  14. Severability Clause
    If any provision is invalid or unenforceable, the remaining provisions remain effective. Invalid clauses will be replaced with valid provisions reflecting the original intent.

  15. Applicable Law
    Swiss law applies, excluding the Vienna Convention on Contracts for the International Sale of Goods.

  16. Jurisdiction
    The place of jurisdiction is SWISSFEEL's registered office, though SWISSFEEL may sue at the Customer's location.
